Appeals Court Reinstates Benificial Owner Information (BOI) Filing Deadline
On December 23, 2024, the Fifth Circuit Court of Appeals reinstated the Beneficial Ownership Information (BOI) filing requirements under the Corporate Transparency Act (CTA), overturning a prior injunction issued on December 3, 2024, by the U.S. District Court for the Eastern District of Texas. The appeals court emphasized that “no sympathy” would be shown, as the CTA has been in effect and fully operational since January 1, 2024.
This ruling not only reaffirms the CTA’s mandate but also underscores the need for businesses to keep their statutory agent information up to date with the Ohio Secretary of State, as fines for non-compliance will be sent to the addresses listed in the Secretary of State database, the official keeper of record.
Key Updates and Filing Requirements
The CTA requires most corporations, limited liability companies (LLCs), and similar entities to disclose their beneficial ownership information to the U.S. Treasury Department’s Financial Crimes Enforcement Network (FinCEN). Entities formed or registered on or after January 1, 2024, must file their BOI reports within 30 days of formation or registration, while entities in existence before January 1, 2024, must file their initial reports by January 13, 2025. This extended deadline was set by FinCEN following the appeals court ruling.
Failure to file the BOI report or ensure accurate information in the Secretary of State database can result in significant penalties, including daily fines up to a maximum of $10,000 and potential criminal sanctions including imprisonment of up to two years.
